1. Agreement to Terms
These Terms of Service (“Terms”) govern your access to and use of the Kaarya AI platform, including our websites, APIs, dashboards, and any related services (collectively, the “Services”) provided by Kaarya AI (“we,” “us,” or “our”). By creating an account, accessing, or using the Services, you (“Customer,” “you,” or “your”) agree to be bound by these Terms and our Privacy Policy. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree, do not use the Services.
2. Definitions
- Services means the Kaarya AI platform: messaging automation (e.g. WhatsApp, Instagram), voice AI and telecalling, AI-powered assistant, document generation, payment links and related tools, and any other features we make available.
- Customer Data means any data, content, or materials you or your end-users provide or generate through the Services (e.g. messages, contacts, call recordings, documents, payment-related data).
- End-Users means individuals who interact with your business through the Services (e.g. WhatsApp or Instagram contacts, call participants).
- Third-Party Services means external providers we use to operate the Services (e.g. Meta for WhatsApp/Instagram, Bolna for voice, Razorpay for payments, Resend for email, PDFMonkey for documents, LLM and speech providers).
3. Account and Registration
You must provide accurate, complete registration information and keep your account credentials secure. You are responsible for all activity under your account. You must be at least 18 years old (or the age of majority in your jurisdiction) and not prohibited from using the Services under applicable law.
4. Acceptable Use and Prohibited Conduct
You agree to use the Services only for lawful purposes and in accordance with these Terms and all applicable laws, including data protection and telecommunications regulations. You must comply with the policies of Third-Party Services (e.g. Meta’s WhatsApp Business Policy, Instagram terms, Razorpay’s terms) where your use of our Services involves those platforms.
You must not:
- Use the Services for any illegal, harmful, fraudulent, or abusive purpose, or to harass, spam, or harm others.
- Violate any third-party rights (including intellectual property, privacy, or publicity rights) or send unsolicited messages where prohibited.
- Attempt to gain unauthorized access to the Services, our systems, or any Third-Party Service, or to circumvent security, rate limits, or usage controls.
- Resell or sublicense the Services in a manner that competes with us or that we have not expressly permitted.
- Use the Services to process or transmit content that is defamatory, obscene, or that promotes violence or discrimination.
- Use voice or messaging features in a way that violates applicable telemarketing, consent, or do-not-call rules.
We may suspend or terminate your access if we reasonably believe you have violated these Terms or acceptable-use standards, or if required by a Third-Party Service or law.
5. Description of Services and Third-Party Dependencies
Kaarya AI provides an integrated platform that includes, among other things: (a) messaging automation and AI assistant over channels such as WhatsApp and Instagram (powered by Meta’s APIs); (b) voice AI and telecalling (using third-party voice and telephony providers); (c) AI-powered features that may use large language and speech models; (d) document generation (e.g. invoices, receipts); (e) payment link and related payment processing; (f) email delivery; and (g) storage and processing of your data as needed to provide these features.
The Services depend on Third-Party Services. Your use of certain features is subject to those providers’ terms and policies (e.g. Meta, Razorpay). We do not guarantee uninterrupted availability of any Third-Party Service and are not responsible for their actions or policies. We will use commercially reasonable efforts to maintain the availability and security of the Services.
6. Fees, Payment, and Refunds
Fees for paid plans, payment links, or other chargeable features are as specified in your plan or at the time of purchase. Payment processing may be provided by third-party payment processors (e.g. Razorpay). You agree to provide accurate payment information and authorize us (or our processor) to charge you. Failure to pay may result in suspension or termination of paid features. Refunds are governed by our refund policy and applicable processor terms; unless otherwise stated in writing, fees are generally non-refundable except where required by law.
7. Data, Privacy, and Security
Our collection, use, and sharing of personal data are described in our Privacy Policy, which is incorporated by reference. You are responsible for ensuring that your use of the Services and your collection and use of End-User data comply with applicable data protection laws and that you have appropriate legal basis and, where required, consent for us to process such data on your behalf. We will process Customer Data as necessary to provide the Services and as described in our Privacy Policy and, where applicable, our data processing terms. We implement appropriate technical and organizational measures to protect the security and confidentiality of the Services and Customer Data.
8. Intellectual Property and Confidentiality
We retain all right, title, and interest in the Services, our technology, and our branding. You retain ownership of your Customer Data. You grant us a limited license to use, store, and process Customer Data as necessary to provide the Services and as set out in our Privacy Policy. Each party will keep the other’s confidential information (including non-public technical and business information) confidential and use it only for purposes of performing under these Terms or as otherwise permitted in writing.
9. Disclaimer of Warranties
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. AI AND VOICE FEATURES MAY PRODUCE INACCURACIES; YOU ARE RESPONSIBLE FOR REVIEWING OUTPUT BEFORE RELYING ON IT.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW: (A) IN NO EVENT SHALL WE (OR OUR AFFILIATES, SUPPLIERS, OR LICENSORS) BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES; AND (B) OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM (OR, IF NO FEES WERE PAID, ONE HUNDRED U.S. DOLLARS). THESE LIMITATIONS APPLY EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN SUCH CASES, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
11. Indemnification
You agree to indemnify, defend, and hold harmless Kaarya AI and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Services; (b) your violation of these Terms or applicable law; (c) your Customer Data or your conduct toward End-Users; or (d) any dispute between you and an End-User or a Third-Party Service, except to the extent caused by our breach of these Terms or our gross negligence or willful misconduct.
12. Termination
You may stop using the Services at any time. We may suspend or terminate your access to the Services, or any part thereof, for convenience with reasonable notice where practicable, or immediately for cause (including breach of these Terms, non-payment, or if required by law or a Third-Party Service). Upon termination, your right to use the Services ceases. We may retain and use Customer Data as permitted by our Privacy Policy and as required for legal, security, or operational purposes. Sections that by their nature should survive (including limitations of liability, indemnification, and dispute resolution) will survive termination.
13. Governing Law and Disputes
These Terms are governed by the laws of India, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts located in Hyderabad, Telangana. Nothing in these Terms limits either party’s right to seek injunctive or other equitable relief in any court of competent jurisdiction.
14. Changes to Terms
We may update these Terms from time to time. We will post the revised Terms on our website and update the “Last updated” date. For material changes, we will provide additional notice (e.g. by email or in-product notice) where reasonably practicable. Your continued use of the Services after the effective date of the revised Terms constitutes acceptance. If you do not agree, you must stop using the Services before the effective date.
